By agreeing to purchase an online training account from AT&F Solutions Ltd you agree to the following 'Terms & Conditions'. As these may vary from time to time the most up-to-date agreement can always be found here and these terms and conditions supersede any previous version.

By using or purchasing any ATFwebportal or ClickHSE product you agree to the terms below.

1. 0 Terms & Conditions

1.1 The following Terms of Use apply to the AT&F Solutions Ltd web site www.atfwebportal.co.uk or .com or www.clickhse.net (“the Web Site”) and to the software, services, products, resources, information, content and materials on the Web Site (“Site Content”). By using the Web Site or Site Content you accept and agree to comply with the following Terms of Use.

1.2 Your use of certain resources made available on the Web Site or the conduct of certain transactions may be subject to certain additional terms and conditions, which will be made available to you prior to using such resources or conducting such transactions. We reserve the right to modify, alter, update, or remove portions of these Terms of Use at any time.

1.3 Any such changes to these Terms of Use will be notified to you. If you do not agree with our Terms of Use, your sole remedy is to discontinue your use of the Web Site. The failure of AT&F Solutions Ltd to enforce these Terms of Use, for whatever reason, shall not be construed as a waiver of any right to do so at any time.


2.0 Service Availability

2.1 These terms and conditions, together with our Privacy Policy and Copyright Policy, will form a legally binding agreement between you and AT&F Solutions Ltd in relation to your use of the ATFwebportal and ClickHSE LMS website.

2.2 By using the ATFwebportal or ClickHSE website, you confirm that you accept these terms and conditions and that you agree to comply with them. If you do not agree to these terms and conditions, you must not use the ATFwebportal or ClickHSE website.

2.3 This current version of the ATFwebportal terms and conditions supersedes all prior, written or oral understandings or agreements and applies to the exclusion of any other terms or conditions that you may seek to impose or incorporate, or which are implied by law, trade, custom, practice or course of dealing.

2.4 We may update these terms and conditions from time to time, therefore, any changes to these terms and conditions will be displayed on our main business website AT&FSolutions.com and your continued use of the website indicates your agreement to these changes.

2.5 Accordingly, please check our main site from time to time to take notice of any changes made, as they will be binding on you.  Any changes to specific reseller terms will be notified by email to the reseller direct.


3.0 Access to ATFwebportal or ClickHSE
website and AT&F Solutions Ltd liability

Although AT&F Solutions makes reasonable efforts to update the information on both websites, AT&F Solutions makes no representations, warranties or guarantees that the content on associated websites are accurate, complete or up-to-date.

AT&F Solutions does not guarantee that the ATFwebportal or ClickHSE website, or any content on it, will always be available or be uninterrupted.

Access to the ATFwebportal or ClickHSE website is permitted on a temporary basis. AT&F Solutions may suspend, withdraw, discontinue or change all or any part of the ATFwebportal or ClickHSE website without notice.

AT&F Solutions will not be liable to you if for any reason the ATFwebportal or ClickHSE website is unavailable at any time or for any period.

You are responsible for ensuring that all persons who access the ATFwebportal or ClickHSE website through your internet connection are aware of these terms and conditions and that they comply with them.

Nothing in these terms and conditions excludes or limits AT&F Solutions Ltd liability for death or personal injury arising from AT&F Solutions negligence, or AT&F Solutions fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

To the extent permitted by law, AT&F Solutions excludes all conditions, warranties, representations or other terms which may apply to the AT&F Solutions associated websites or any content on them, whether express or implied.

AT&F Solutions will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • Use of, or inability to use, the ATFwebportal or ClickHSE website; or

  • Use of or reliance on any content displayed on the ATFwebportal or ClickHSE website.

If you are a business user and you purchase a product on the AT&F Solutions website then (subject always to the provisions above and below) AT&F Solutions total liability to you will be limited to the total amount paid by you for the product.

If you are a reseller user and you sell a product via ATFwebportal or ClickHSE website, AT&F Solutions total liability to you will be limited to the amount of the license sold to you by us.

If you are a consumer user then (subject always to the provisions above and below) AT&F Solutions will be responsible for loss or damage you suffer that is a foreseeable result of AT&F Solutions negligence or breach of these terms and conditions, but AT&F Solutions will not be responsible for any loss or damage that is not foreseeable.


4.0 AT&F Solutions will not be liable for:

  • loss of data (as it is your responsibility to back-up and keep copies of all data you submit to the ATFwebportal or ClickHSE website);

  • loss of profits, sales, business, or revenue;

  • business interruption;

  • loss of anticipated savings;

  • loss of business opportunity, goodwill or reputation; or

  • any indirect or consequential loss or damage.

AT&F Solutions will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the ATFwebportal or ClickHSE website or to your downloading of any content on it, or on any website linked to it.

AT&F Solutions assumes no responsibility for the content of websites linked on the ATFwebportal or ClickHSE site. Such links should not be interpreted as endorsement by AT&F Solutions of those linked websites.  AT&F Solutions will not be liable for any loss or damage that may arise from your use of them.

Product descriptions and images displayed on the ATFwebportal or ClickHSE and AT&F Solutions websites are illustrative only and are published to provide users with a guide to the products being offered and do not contribute in any way to a binding contract between users and sellers and/or AT&F Solutions.

No responsibility or liability is assumed by AT&F Solutions for the information, service and/or products being suitable for the purpose of the user.


5.0 Intellectual property

AT&F Solutions is the owner or the licensee of all intellectual property rights in the associated websites such as ATFSolutions.com and ATFwebportal or ClickHSE, and in the material published on it. These works are protected by copyright laws and treaties around the world. All such rights are reserved. For further information on intellectual property, please see our Copyright Policy.


6.0 Data Protection / Privacy

Contact information provided during the purchase of the course and/or registering as a trainee will be held within our dedicated client accounts system, and also within ATFwebportal or ClickHSE LMS in a safe, confidential and secure environment.

Contact information may be used to supply further information about AT&F Solutions other services and server status/updates.
AT&F Solutions does not hold any sensitive personal information or financial details within its systems.

AT&F Solutions will not sell or rent your contact information to any third parties.


7.0 Limitation of Liability

AT&F Solutions will not be liable for any incorrect or consequential loss or damage arising out of or in connection with your use or inability to use the ATFwebportal or ClickHSE LMS or any of the course materials.


8.0 Viruses, Hacking and Offences

AT&F Solutions does not guarantee that the ATFwebportal or ClickHSE website will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform in order to access the ATFwebportal or ClickHSE website.

You should install and maintain your own virus protection software. You must not misuse our website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.

You must not attempt to gain unauthorised access to our website, the server on which our website is stored or any server, computer or database connected to our website. You must not attack our website via a denial-of-service attack or a distributed denial-of-service attack.

By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our website will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our website or to your downloading of any material posted on it, or on any website linked to it.


9.0 Linking

You may link to the ATFwebportal or ClickHSE home page, in order to give your staff direct access for registration and access provided you do so in a way that is fair and legal and does not damage AT&F Solutions reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.  AT&F Solutions reserves the right to withdraw linking permission without notice.

Where the ATFweportal or ClickHSE website contains links to other sites and resources, such as reference URLs and PDFs provided by third parties, these links are provided for your information only. AT&F Solutions has no control over the contents of those sites or resources.

10.0 Reseller partners

Reseller Partners are deemed to be someone who sells our services as a whole or as part or wider service provision not proved by AT&F Solutions Limited and by the resale of our products you agree to wholly abide by our terms and conditions.

As a Reseller Partner you will have access to our entire range of services including ClickHSE, ClickFRA, and all associated courses along with access to our development team should you wish to offer custom work to your clients.

Reseller Partners agree to promote the products and services of AT&F and, where applicable, introduce potential clients to said products and services.

The Reseller Partner is responsible for the management and safe keeping of client records and will be provided login details to each client account created in order to download and save the Test Results report. AT&F Solutions Limited take no responsibility for clients loss of data or removal of service access if a breach of contract is implemented,

In the event of either party wishing to terminate the agreement, the party requesting the termination shall formally forward the request in writing, giving a minimum of 60 days notice of termination. The agreement shall terminate 60 days from this date, at which all marketing material, demo access and course content held outside of ClickHSE or outside any other AT&F platform must be deleted in full.

Any outstanding balances must be settled within this termination period. Any outstanding fees, invoices or other associated outstanding costs must also be settled in full.

Should AT&F Solutions Limited realise a conflict of interest, such as in-house eLearning development or the promotion of other third-party courses/platforms, by the Reseller Partner we reserve the right to revoke any agreement and terminate the full provision of services with immediate effect. In this instance all outstanding balances become payable in full within 30 days.

Where contract termination is made due to conflict of interest as implemented by AT&F Solutions Limited we also reserve the right to suspend or terminate all provision of services immediately to all Reseller Partner clients for the outstanding duration of any ClickHSE account, including platform access and platform support. All data relating to and held within these accounts, inclusive of training records, risk assessments, staff user logins, certificates and reports may also be fully cleansed and removed from our servers without further notice. No reimbursement will be made for client accounts that remain within an active subscritption period .

Copyright and trademarks exist for all products sold. Partners agree to abide by all copyright, intellectual copyright and confidentiality, and the use or copying of ideas, developments, strategies or content is strictly prohibited.

Should a Reseller Partner develop their own eLearning platform and/or content, or commence use of third-party eLearning content via a leased learning management system the Reseller Partner agrees to give full access to AT&F Solutions Limited to review the requested content within 7 days of a request being made via the issue of Copyright notice document.


11.0 Purchasing online

AT&F Solutions catalogue of e-learning courses are delivered to you over the internet using the ATFwebportal or ClickHSE Learning Management System (LMS).

Single User License: Upon receiving payment for your chosen course, if you are a new ATFwebportal or ClickHSE trainee, your account will be created, and you will be assigned to the course purchased and you will receive an email confirming your account logon details and another confirming enrolment on the course.

Company User License:  Once you have been approved for credit terms you will be sent your ‘dedicated’ account details and welcome pack via email in order that you can share with your staff enrolment details.

12.0 Account access

All accounts are provided under a twelve month license agreement; this is broken down into eleven active months, with the twelfth month being an official countdown to the final expiry date (sleep mode).

On the eleventh month of each renewal term you will receive an ‘AUTO’ mail informing you of the pending renewal should you wish to retain your account for another year.  During the final twelfth month, access is limited for the account administrator only in order to export results etc. 

During the twelfth month, the account will go in and out of sleep mode as it heads towards the official expiry date. It is at the discretion of AT&F Solutions if the account is to remain fully open on the twelfth month.

You will be sent a renewal mail during this time, if we don’t receive a confirmation of renewal from the account administrator (client side) we will delete the account after a period of one month after the official expiry date.

It is your responsibility to export all training records periodically in order to safeguard your staff records as intimated above, if a training account is not renewed under our annual licence, we will deem this account as inactive and remove the account and all data associated with it under our GDPR policy, therefore, any data / records etc for none active accounts will be deleted in full.

 
13.0 Invoice, payments and refunds

Full payment is required prior to being granted access to courses. For business customers requiring an invoice, where agreed, credit terms of 14 days from date of invoice will be instated.

All outstanding debts or Course fees due to us must be made in full before any Course can be considered as complete and therefore eligible for the issuing of certificates of qualification.

Defaulting on this agreement may have severe consequences and could lead to you incurring any reasonable costs which we incur (including both administration costs and debt recovery costs), because you failed to meet the terms and conditions of this agreement. 

  1. If you are having trouble paying your bill or meeting your payments, you should contact us immediately on 01905 371321 , to discuss ways we can help and the repayment options available to you. 

  2. If you don't pay on time: We may use third-party agents (for example Debt Collection Agencies, High Court Enforcement companies) to recover any debt due to us. We may also, apply for and register a default against your company. This could make obtaining credit in the future more difficult. 

  3. We may use a Credit Reference agency to review information held, this will help us choose the correct way in which we collect any outstanding debt from you. 

  1. We may make a legal claim against you to recover any debt owed (plus applicable costs) by court order. We can charge you interest at 8% per year above the current Bank of England base rate, this will be charged on the overdue amount owed until you pay this amount in full, including both applicable costs and interest.

Due to the nature of the intellectual property within the course content; AT&F Solutions does not offer refunds once you have been enrolled on a course and logged into the ATFwebportal or ClickHSE LMS.

A full refund is available within fourteen days providing you have not logged into the LMS.


14.0 Governing law and jurisdiction

These terms and conditions shall be governed by and read in accordance with the laws of England and shall be subject to the exclusive jurisdiction of the courts of England.  If you are a consumer, advice about your legal rights is available from your local Citizens’ Advice Bureau or Trading Standards office. Nothing in these terms and conditions will affect these legal rights.


15.0 Copyrights & Trademarks

The Web Site and Site Content is the property of AT&F Solutions Ltd, and its licensors and is protected by International Copyright laws. All copyright, trademark, and other proprietary rights in the AT&F Solutions Ltd site and in the services, products, software, text, graphics, design elements, and all other materials originated or used by AT&F Solutions Ltd at the Web Site are reserved to AT&F Solutions Ltd and its licensors. All rights reserved.


In addition, the Web Site may contain trademarks, logos and links to the web sites of third parties. Any domain names, URLs, trademarks or logos appearing on the Web Site or in any Site Content site are the sole property of their respective owners.


16.0 Copyright Complaints

AT&F Solutions Ltd and its affiliates respect the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify us.  AT&F Solutions Ltd controls the Web Site (excluding third party linked sites) from its offices at Worcester, England (UK)

17.0 Third-party data

AT&F Solutions provides data storage for to enables accounts to be able to upload and store documents and images in various file formats. AT&F Solutions assume no liability for ensuring permission for use or storage is granted by the owner/creator/distributor of these files and all responsibility for these permissions is to be assumed by the client.
